These Terms and Conditions (“Terms”) govern your use of services provided by Chipi Payment Solutions Ltd. (“Chipi”, “we”, “us”, or “our”) through our mobile application, backend systems, and any associated interfaces (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use Chipi.
1. Overview of Services
Chipi is a crypto-native payment infrastructure that enables users to facilitate secure, compliant cryptocurrency transactions with authorized third-party venues, including casinos and hospitality operators (“Partner Venues”).
We do not operate, own, or control any Partner Venue. Chipi does not offer gaming, gambling, or wagering services. Instead, we provide the technology layer that connects user-initiated cryptocurrency payments with approved venues that accept those payments under their own terms.
2. Fees
Fees associated with the use of the Service, including transaction or processing fees, will be clearly disclosed at the time of each transaction. By proceeding with a transaction, you acknowledge and agree to any applicable fees presented. Chipi reserves the right to update fee structures at any time, with such changes reflected prior to future transactions.
3. Eligibility
To use Chipi, you must:

Be at least 18 years of age, or of legal age in your jurisdiction

Not be prohibited from using crypto payments under local law

Not be located in a restricted or sanctioned country
We reserve the right to restrict or deny access where the use of crypto in regulated industries or jurisdictions is limited.
4. Account Registration & Verification
You must create a Chipi account and complete identity verification to use the Service. This includes:

Providing your full legal name, date of birth, nationality, and email

Uploading identity documents (e.g., passport, utility bills)
-
Enabling location tracking for venue compliance
You agree to provide accurate and current information and to update it as needed.
We may suspend or close accounts that fail KYC/AML checks or appear fraudulent.
5. How Payments Work
Chipi enables you to initiate a cryptocurrency payment intended for a Partner Venue. In doing so:

You instruct Chipi to transmit a supported cryptocurrency (e.g., USDT) to a venue-linked settlement address

You receive a transaction reference, QR code, or other proof-of-payment to present at the Partner Venue

The venue, not Chipi, confirms and honors the payment under its own policies
The Service is intended as a secure crypto-to-venue transaction facilitator — not a wallet, investment, or payment guarantee.
6. Finality & Risk
All crypto transactions made via Chipi are:

Irreversible once broadcast to the blockchain

Subject to confirmation by the Partner Venue before service is rendered

Non-refundable unless the Partner Venue initiates a refund
We are not responsible for:

Mistyped wallet addresses

Lost or stolen private keys

Network delays, failed confirmations, or gas fees
Cryptocurrency carries inherent risk, including value volatility and transaction failure.
7. Third-Party Venues
Your interaction with any Partner Venue is governed by that venue’s own terms, rules, and conditions.
Chipi is not responsible for:

Service quality, payouts, refunds, or disputes at the venue

Gaming, entertainment, hospitality, or retail experiences
-
Enforcement of any third-party loyalty, bonus, or refund policy
We do not monitor or control how a Partner Venue chooses to process your payment once received.
8. Acceptable Use
You may not use Chipi to:

Circumvent financial or gaming regulations

Facilitate fraud, money laundering, or terrorist financing
-
Evade sanctions or conduct transactions on behalf of sanctioned individuals or entities
-
Abuse venue services (e.g., rapid cycling, arbitrage, or double-spend attempts)
Violations may result in immediate suspension and reporting to relevant authorities.
9. Intellectual Property
All content, branding, and technical infrastructure provided by Chipi is protected by intellectual property laws. You may not:

Copy or distribute any part of the Service

Reverse-engineer the platform
-
Misrepresent your affiliation with Chipi
10. Data Protection
Your data is processed in accordance with our Privacy Policy. We implement security measures to protect user identity and payment integrity.
Chipi does not store private crypto wallet keys under any circumstances.
11. Termination
We may suspend or terminate your account:

For breach of these Terms

Upon request from a regulatory authority

If we detect fraudulent, illegal, or abusive behavior
Upon termination, your access to the Service ends immediately. Data may be retained to comply with financial record-keeping laws.
12. No Financial or Gaming License
Chipi:

Is not a licensed casino or gaming operator,

Does not custody funds on your behalf
Our role is strictly limited to facilitating cryptocurrency payments with transparency and compliance and according to our Money Service Business (MSB) registration C100000574
13. Jurisdiction & Governing Law
These Terms are governed by the laws of Alberta, Canada , without regard to its conflict-of-law provisions.
Any disputes shall be resolved in the courts of Alberta, Canada unless otherwise required by applicable consumer protection law.
14. Modifications to the Terms
We may update these Terms at any time. Revised versions will be posted at:

Continued use of the Service after any changes constitutes your acceptance of the new Terms.
